Agreement to Terms

These terms constitute the End User License Agreement ("EULA") for the Quillo app. By accessing or using Quillo's voice notes and AI-powered task app on iOS (Apple App Store) or Android (Google Play Store), you agree to be bound by these Terms of Use.

Use of Service

Quillo provides voice, text, and paste capture and AI action extraction for personal, non-commercial use. You may not use our service for any illegal or unauthorized purpose.

User Content and License

You retain ownership of any voice recordings, text, or other content you submit to Quillo ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, royalty-free, worldwide license to process, transmit, and temporarily store your User Content solely to provide the service to you (including transcription, action extraction, and syncing to connected integrations). This license terminates when you delete the relevant content or your account.

You are solely responsible for your User Content. You represent and warrant that: (a) you have all necessary rights to submit the content; (b) your content does not violate any third-party rights or applicable laws; and (c) you will not submit content that contains legally privileged communications (e.g., attorney-client), HIPAA-covered health information, classified information, or any other content you are not authorized to share with third-party cloud AI services.

Third-Party AI Services

Quillo uses third-party AI services to deliver its core features:

• OpenAI processes your audio recordings for transcription via the Whisper API. Your use of Quillo is also subject to OpenAI's Terms of Use.
• Anthropic processes transcribed text for action extraction via the Claude API. Your use of Quillo is also subject to Anthropic's Usage Policies.

AI Accuracy Disclaimer: AI-generated transcriptions and task extractions may not be perfectly accurate, complete, or appropriate for your situation. You are responsible for reviewing all extracted tasks, events, and reminders before acting on them. Quillo makes no guarantees regarding the accuracy or suitability of AI-generated output.

Quillo may update or replace the AI service providers it uses at any time. Material changes to how your data is processed will be reflected in our updated Privacy Policy.

User Conduct

You agree to use Quillo only for lawful purposes and in accordance with these Terms. You may not:

• Use the service in any way that violates applicable laws, regulations, or third-party rights
• Circumvent, disable, or interfere with security-related features, access controls, or usage limits
• Copy, scrape, redistribute, or create derivative works from our content or service without permission
• Use automated systems (e.g., bots, scrapers) to access the service except as we explicitly permit
• Impersonate any person or entity, or misrepresent your affiliation
• Transmit malware, spam, or any harmful or disruptive content
• Use the service to harass, abuse, or harm others

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these conduct rules or any applicable law.

Detailed Subscription Terms

Quillo offers a free tier with basic features that you can use without any payment. We also offer an optional Pro subscription. By subscribing to Quillo Pro, you agree to the terms below. See our pricing page for current offers.

Subscription Name and Length

• Subscription title: Quillo Pro
• Length: Monthly or annually, as selected at purchase. Monthly subscriptions recur each month; annual subscriptions recur each year.
• Price: Pricing is displayed in the app at purchase. As of the last update of these Terms, Quillo Pro is offered at approximately $9/month (monthly) or as shown for annual. Prices may vary by region and platform; the amount charged is shown before you confirm.

Auto-Renewal and When You Are Charged

Pro subscriptions are sold as in-app purchases through the applicable app store on your device. Payment is charged to your store account (Apple ID on iOS, Google account on Android) at confirmation of purchase. Subscriptions automatically renew at the end of each billing period unless you turn off auto-renewal at least 24 hours before the end of the current period. You will be charged for each renewal at the then-current price for your plan until you cancel.

How to cancel: You can manage or cancel your subscription in your device settings:

• iOS: Settings → Apple ID → Subscriptions → Quillo → Cancel Subscription
• Android: Google Play Store → Profile → Payments & subscriptions → Subscriptions → Quillo → Cancel

Cancellation takes effect at the end of the current billing period; you retain access until then.

Free Trial

Quillo Pro may be offered with a free trial (introductory offer) where applicable. If you start a subscription with a trial, you will not be charged until the trial ends. When the trial ends, you will be charged for the subscription unless you cancel before the trial period ends. Any unused portion of a free trial is forfeited when you purchase a subscription. Trial eligibility may vary and is determined by the applicable app store (Apple App Store or Google Play Store).

Cancellation Policy

You may cancel your subscription at any time through your device settings as described above. Cancellation stops future charges. You will not receive a refund for the unused portion of the current billing period. We do not provide refunds for partial months or years.

Refund Policy

All purchases are generally non-refundable. Refund requests for in-app subscriptions must be submitted directly to the app store through which you purchased:

• iOS (Apple App Store): Submit refund requests to Apple in accordance with their refund policies. Contact Apple Support or visit reportaproblem.apple.com.
• Android (Google Play Store): Submit refund requests to Google in accordance with their refund policies. Contact Google Play Support or visit play.google.com/store/account.

We cannot process refunds for in-app purchases directly.

Account Deletion

You may delete your Quillo account at any time. For full details on what data is removed, see our Privacy Policy.

How to Delete Your Account

From the app (recommended): In the Quillo app, open Settings, scroll to the bottom, and tap Delete Account. Confirm when prompted; your account and associated data are then permanently deleted.

By email: If you cannot access the app, send an email to [email protected] with the subject "Delete Account," your account email, and confirmation that you wish to delete. We will process your request within 30 days.

Subscriptions and Account Deletion

Deleting your account does not automatically cancel a Quillo Pro subscription billed through the Apple App Store or Google Play Store. To stop future charges, you must cancel your subscription in your device settings (iOS: Settings → Apple ID → Subscriptions; Android: Google Play Store → Subscriptions) before or after deleting your account. We do not refund any unused portion of a subscription.

Intellectual Property

All content and technology provided through Quillo, including our AI action extraction and voice processing, is protected by intellectual property laws.

Termination of Service

We may suspend or terminate your access to Quillo, in whole or in part, at any time and for any reason, including but not limited to: (a) violation of these Terms or our User Conduct rules; (b) fraudulent, abusive, or illegal activity; (c) extended inactivity; (d) requests by law enforcement or regulatory authorities; (e) discontinuation or material modification of the service; or (f) any other reason we deem necessary to protect our users, the service, or third parties.

Upon termination, your right to use Quillo ceases immediately. We may delete your account and associated data in accordance with our data retention practices. Provisions of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Dispute Resolution, and Governing Law) will survive.

You may terminate your access at any time by deleting your account as described in the Account Deletion section. If you have a subscription, cancel it via your device settings to avoid further charges.

Modifications to Service

We may change, suspend, or discontinue any part of Quillo (including features, availability, or pricing) at any time. We may also impose new limits, conditions, or fees. We will use reasonable efforts to notify you of material changes (e.g., via in-app notice, email, or a notice on our website), but we are not obligated to do so for every change.

If we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of Quillo after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the service and may delete your account. For subscription changes (e.g., price increases), we will give you advance notice where required by applicable law or app store rules.

Disclaimer of Warranties

Quillo is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the service will meet your requirements, that AI-generated outputs will be accurate or complete, or that any defects will be corrected.

Limitation of Liability

To the fullest extent permitted by applicable law, Quillo and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of data, loss of profits, loss of business, or damages arising from inaccurate AI transcription or action extraction, integration failures, or reliance on AI-generated content.

In no event shall our total liability to you for all claims exceed the greater of (a) the amount you paid to Quillo in the twelve (12) months prior to the event giving rise to the claim, or (b) USD $10. Some jurisdictions do not allow the exclusion or limitation of certain damages; if these laws apply to you, some of the above limitations may not apply.

Dispute Resolution and Governing Law

Informal resolution: Before filing a formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will try to resolve it in good faith within 30 days.

Governing law: These Terms and any dispute arising therefrom shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Exceptions: Nothing in these Terms affects your statutory rights as a consumer where applicable law requires.
